These Terms of Service (the "Terms") are a binding agreement between BAW International Inc. ("BAW," "we," "us") and the business that subscribes to the Helix Field platform (the "Service"). By creating an account, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Helix Field is a software-as-a-service platform for field-service businesses that provides scheduling, dispatch, mapping, a customer/job record, estimates, invoicing, time tracking, payroll assistance, and related web and mobile applications. We may add, change, or remove features over time. The Service is provided for business use only, in the United States, to users who are at least 18 years old and authorized to bind their business.
You must provide accurate account information and keep it current. You are responsible for your account, for all activity under it, for maintaining the confidentiality of credentials, and for your users' compliance with these Terms. Your plan includes a set number of user "seats"; adding users beyond your plan may incur per-seat charges as described at purchase. You must promptly notify us of any unauthorized use.
You may cancel at any time, yourself, from your account settings — the same easy way you signed up, with no phone call or retention hurdles. Cancellation stops future renewals and takes effect at the end of your current paid period; you keep access until then. Fees already paid are non-refundable except as stated in our Refund & Cancellation Policy or as required by law.
As between you and us, you own the data and content you and your users put into the Service ("Customer Data"), including your customers, jobs, photos, and e-signatures. You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. We process Customer Data as your service provider/processor under our Privacy Policy and any applicable data processing addendum. You are responsible for the accuracy and legality of Customer Data and for having the rights and notices needed to provide it to us (including any notices to, or consents from, your own customers).
If you use the Service to collect payment from your own customers, those payments are processed through your own connected Stripe account and settle directly to you. You must accept Stripe's Connected Account Agreement, and you are the merchant of record for those transactions. BAW is not a party to, and does not take custody of funds for, transactions between you and your customers, and is not a bank, money transmitter, or payment processor. We may charge a small platform fee as disclosed.
You agree not to: (a) use the Service unlawfully or to violate others' rights; (b) upload malware or attempt to breach, probe, or disrupt the Service or its security; (c) reverse engineer, resell, or provide the Service to third parties except your own users; (d) send unlawful, harassing, or unsolicited messages (you are responsible for your own SMS/email compliance, including consent and opt-out); (e) misuse payment features or engage in fraud; or (f) exceed your seat or usage entitlements. We may suspend or terminate accounts that violate this section.
The Service integrates third-party services (including Stripe, Amazon Web Services, Google Firebase, Mapbox, and Geocodio). Your use of those may be subject to their terms, and we are not responsible for third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it constitutes tax, payroll, legal, or accounting advice — payroll and tax figures are estimates you must verify.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE [12] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
You will defend, indemnify, and hold BAW harmless from claims, damages, and costs arising out of your Customer Data, your use of the Service, your violation of these Terms or law, or your transactions with your own customers.
These Terms apply while you use the Service. You may stop and cancel at any time. We may suspend or terminate your access for non-payment, material breach, or as required by law, with notice where practicable. On termination, your right to use the Service ends; sections that by their nature should survive (fees owed, data, disclaimers, liability, indemnity, governing law) survive.
These Terms are governed by the laws of the State of [Oklahoma], without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in [Oklahoma], and you consent to their jurisdiction. [If an arbitration and class-action-waiver provision is desired, counsel should draft it here; it is intentionally omitted from this draft.]
We may update these Terms. We will post the new effective date and, for material changes, provide notice as required. Continued use after an update means you accept the revised Terms.
